Terms of Service

Version 2026-10-16.1 · Last updated: 16 October 2026

These Terms govern the websites, software, integrations, automation tools and related services supplied by Slynk Digital Ltd (the “Services”) for business use, whether ordered directly or through an authorised reseller or platform.

1. Our agreement

Slynk Digital Ltd (“Slynk”, “we”, “us”) is registered in England and Wales, company number 08451739, at Solihull Business Centre, 1711 High Street, Solihull, England, B93 0LN. Contact connect@slynk.io.

“You” means the business, organisation or sole trader using the Services. Anyone accepting on its behalf must have authority to bind it.

This agreement begins when your authorised representative accepts these Terms electronically, signs an Order incorporating them, or starts using or authorises use of the Services after these Terms have been brought to their attention, whichever occurs first. Each Order becomes binding when we confirm it or make its Services available. For reseller or platform purchases, these Terms must be incorporated into the Order or accepted separately for Slynk’s Services. The version presented on acceptance applies, with later changes governed by section 13.

An “Order” is the service, price, billing period and usage details agreed when you subscribe or order, including through an authorised reseller or platform. A “Service Description” is a service specification expressly identified in that Order. General marketing material does not form part of the Service Description unless expressly incorporated.

Our agreement comprises these Terms, the Order, any incorporated Service Description and the Data Processing Addendum in section 14 (“DPA”). A separately signed agreement takes priority to the extent it expressly varies them. The DPA takes priority on personal-data processing matters, subject to any separately agreed data processing agreement. The Order takes priority on service-specific commercial details; these Terms otherwise take priority over the Service Description.

Our Privacy Policy explains personal-data handling. Accepting these Terms does not constitute consent to optional marketing or tracking.

2. Services and support

We will provide the agreed Services with reasonable care and skill. Features, supported platforms, limits and included support depend on your Order. Bespoke development, migration or configuration work and guaranteed service levels or response times are included only if expressly agreed. Unless included in your Order, standard support does not include correcting source data, reconstructing historical records or troubleshooting third-party systems beyond our integration. These exclusions do not remove our responsibility to remedy our own breach. You must provide reasonable cooperation and relevant information when we investigate faults, using secure channels for confidential information.

We may make routine updates within the agreed scope without individual notice or renewed acceptance, provided they do not materially reduce agreed functionality or change contractual rights or obligations. We may carry out reasonable scheduled or emergency maintenance, which may temporarily interrupt access. Material reductions to agreed functionality are subject to sections 10 and 13. We do not guarantee uninterrupted or error-free operation, immediate processing or a particular business outcome. Timing and results depend on source data, configuration, connectivity, queues and third-party systems. A successful submission does not establish completion or delivery by another system.

3. Accounts and authority

Keep account and billing information accurate, protect credentials, control user access and notify us promptly of suspected misuse. You must have authority to connect each system and direct the processing for each business you represent. You are responsible for your authorised users' compliance, except to the extent loss results from our breach.

4. Configuration and results

Check settings, mappings, schedules, permissions and destinations, and use available tests or previews before enabling or materially changing operations. Previews cannot reproduce every live condition.

Configured operations may create, change or permanently delete records in connected systems without further confirmation. Review their scope and intended effect before activation or material changes. Maintain independent business records, backups and recovery arrangements. Unless expressly agreed in an Order, the Services are neither a backup service nor your primary or authoritative system of record. We are not responsible for consequences arising solely from correctly executing your authorised configuration, except to the extent caused by our breach, negligence or liability that cannot lawfully be excluded.

Validate outputs before relying on them and maintain reasonable checks on the accuracy and completeness of business-critical data. Synchronisation may involve delays, conflicts, omissions or duplicates. Monitor results and errors, investigate and report discrepancies promptly, and take reasonable steps to prevent further loss. The Services do not replace your reconciliation, accounting, stock-control or business continuity procedures, or provide regulated professional advice. You remain responsible for your business and regulatory decisions and obtaining appropriate advice. These responsibilities do not remove our duty to provide the Services with reasonable care and skill.

5. Third-party services

Connected platforms, devices and services operate under their own terms. Maintain the subscriptions, permissions and supported versions needed to use them. Their changes, outages or withdrawal of access may affect the Services. We do not guarantee continued compatibility or access to third-party features.

If a third-party provider materially changes requirements, access, charges or other conditions affecting the Services, we may reasonably modify affected functionality, revise charges or discontinue affected Services, subject to sections 7, 10 and 13.

Direct any issues with our Services to our support team at connect@slynk.io.

You instruct us to deliver data to your configured recipients and destinations and must ensure they are authorised and appropriate. Copies delivered there are subject to those recipients' arrangements. Our responsibility for suppliers acting on our behalf is governed by the DPA and applicable law.

6. Acceptable use

Use the Services lawfully and within agreed limits. Do not access systems without authority, bypass security, introduce malicious code, send unlawful communications, infringe others' rights, or resell, copy or reverse engineer our software except as permitted by us, applicable software licences or law. Do not deliberately disrupt or overload the Services, misuse other users’ credentials or harass our staff. Supported integrations, automation and exports are permitted within the agreed scope.

We may apply proportionate technical limits, throttling or temporary restrictions where usage materially exceeds agreed limits or threatens security, stability or performance, including through configuration errors. Restrictions are subject to section 10. Additional usage charges apply only under your Order or a further agreement.

7. Fees and cancellation

Your Order sets the price, currency, billing frequency, limits, taxes and billing provider. Unless it states otherwise, subscriptions renew for successive periods until cancelled. Additional usage or services are chargeable only under the agreed plan or a further Order.

Pay properly due fees and maintain valid billing details. Reseller or platform purchases use that channel's billing and cancellation procedures. Charges for third-party products are separate unless expressly included.

For direct billing, we may retry failed payments within your payment authorisation and use our billing provider to send payment notices, without separate notice for each retry. We may suspend Services for overdue undisputed fees after reasonable notice and an opportunity to pay, subject to section 10. Reseller or platform collections follow that channel’s billing arrangements.

For qualifying overdue commercial debts owed to us, we may claim statutory interest, compensation and reasonable recovery costs only to the extent permitted by applicable law, without double recovery.

Recurring price changes take effect at renewal after reasonable advance notice, subject to your Order, billing rules and applicable law. Notice must give you a reasonable opportunity to cancel before the affected renewal without paying the increased price, notwithstanding any earlier cancellation deadline.

Whether you subscribe directly or through a third-party platform, you may cancel your subscription at any time through the self-service cancellation facility provided by your billing provider or platform. You do not need to contact Slynk to cancel. Cancellation takes effect at the end of the current paid subscription period unless your Order or applicable billing rules specify otherwise. Uninstalling a plugin, disconnecting a connector or stopping use does not cancel your subscription unless that action is the cancellation method specified by your billing provider or platform. For subscriptions billed through Epos Now, cancellation is made by uninstalling the app through the Epos Now App Store. Fees already incurred remain payable. Refunds are governed by your Order, applicable billing rules and law.

8. Ownership and licence

We and our licensors own the Services and materials we supply. During your subscription, you have a non-exclusive right to use them for your internal business purposes within the agreed scope. Your business records and downloaded outputs may continue to be used for their intended purpose afterwards.

You and the relevant rights holders retain ownership of your data and content. You grant us the rights necessary to process it to provide, secure and support the Services under this agreement. You must hold the necessary rights and lawful grounds. This does not authorise us to sell customer data or use it for unrelated marketing.

If you voluntarily provide suggestions for improving the Services, you grant us a non-exclusive, worldwide, royalty-free licence to use and incorporate those suggestions into our Services without payment or attribution.

9. Confidentiality

Each party must protect the other's confidential information with reasonable care, use it only for this agreement and disclose it only to people who need it and are bound by confidentiality duties. This excludes information lawfully known, independently developed, obtained lawfully elsewhere or public without breach. Legally required disclosure is permitted.

10. Suspension and termination

We may proportionately restrict affected Services for security risks, unlawful use, material breach, overdue undisputed fees, third-party access restrictions or the usage issues in section 6. Where practicable, we will give notice and an opportunity to resolve the issue. We will restore access without unreasonable delay once the grounds for restriction are resolved. Suspension does not remove accrued payment obligations.

Either party may terminate affected Services for a material breach not remedied within a reasonable period specified in written notice, or immediately if irremediable or required by law or to prevent serious harm. You may also cancel under section 7.

We may decline renewal of a subscription by giving reasonable written notice before the end of its subscription period, subject to notice or continuing-service commitments in your Order or law. We will honour the paid period unless another termination right applies.

If we withdraw a paid Service for other reasons, we will give reasonable advance notice where practicable and honour agreed notice or transition commitments. Refunds and other remedies follow section 7 and applicable law.

Access ends on termination, except for an agreed transition. Obtain needed records before then; personal-data return and deletion follow the DPA. Accrued payments, confidentiality, liability and other obligations intended to survive remain effective.

11. Liability

Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by law, we exclude liability for loss of profits, revenue, business, goodwill, anticipated savings, and any indirect or consequential loss, whether arising in contract, tort (including negligence) or otherwise.

We are not liable for losses arising from incorrect or incomplete information, customer instructions, configurations, unauthorised changes, or failure to maintain appropriate access or backups, except to the extent caused by our breach of this agreement, negligence or other liability that cannot lawfully be excluded. We are not responsible for independent third-party failures except where legally responsible for their performance.

Our total aggregate liability arising out of or in connection with this agreement, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total fees paid or payable by you for Slynk’s Services during the 12 months immediately before the earliest event giving rise to a claim subject to this limit. This is a single combined limit covering all claims, Orders and Services, including contractual claims under the DPA, and does not reset annually or increase with additional claims, renewals or updated terms. Fees paid through authorised resellers or platforms for our Services are included, excluding taxes and charges for their own products.

These exclusions and limitations apply to the fullest extent permitted by law. They do not restrict individuals' or regulators' statutory rights or other rights or remedies that cannot lawfully be excluded or limited. Each party must take reasonable steps to mitigate its losses, and there shall be no double recovery for the same loss.

The parties acknowledge that the fees charged reflect the allocation of risk under this agreement, including these exclusions and limitations. Different liability limits apply only where expressly agreed in writing.

12. Claims caused by misuse

You must reimburse reasonable amounts and legal costs we are required to pay for third-party claims to the extent caused by your deliberate misuse, unlawful instructions or infringing content, excluding loss caused by our breach, negligence or unlawful processing. We must notify you promptly, cooperate reasonably and allow you to participate in the defence. We will not settle on terms requiring payment or an admission by you without your written agreement.

13. Changes

We will notify you of changes to these Terms by email at least 7 days before they take effect, or longer where required by law. Your continued use of the Services after that date constitutes acceptance, subject to applicable law.

14. Data Processing Addendum (DPA)

This DPA applies to personal data we process on your behalf (“Customer Personal Data”). Contractual claims under it are subject to section 11.

14.1. Roles and processing scope

“Data Protection Law” means the UK GDPR and Data Protection Act 2018, as amended, and the EU GDPR and other data-protection legislation where applicable. Controller, processor and personal-data breach have their statutory meanings. You are the controller or a processor authorised to appoint us; we are your processor or sub-processor. The relevant controller determines the purposes and essential means of processing Customer Personal Data. If you act as a processor, your instructions to us must be authorised by that controller. We process Customer Personal Data under the documented instructions described in section 14.2. Each party remains responsible for its separate controller activities.

The subject matter and purpose are operating your configured Services, including related support and security. Processing comprises retrieval, hosting, storage, transformation, synchronisation, export, transmission, updating and deletion for the service period and necessary return or deletion period. The Order, saved configuration and written instructions define the specific scope.

Data subjects may include customers, prospects, employees, contractors, suppliers and business contacts. Data may include names, contact details, addresses, identifiers, transaction records, account activity and other supported fields selected from connected systems.

14.2. Instructions

Your documented instructions include this agreement and your authorised configurations, mappings, filters, schedules, destinations, run requests and other recorded directions. These authorise the resulting automated processing without separate approval for each operation.

We will process Customer Personal Data only on your documented instructions, including for transfers, unless UK law, or EU or Member State law where applicable, requires otherwise. We will notify you before legally required processing unless prohibited, and immediately if we consider an instruction infringes Data Protection Law. You must establish lawful grounds, provide required notices and ensure your data and instructions are lawful.

We may decline or suspend an instruction we reasonably believe would breach law, compromise security or infringe another person’s rights, and require a revised lawful instruction before resuming. Restrictions will be proportionate and limited to affected processing where practicable. Our duties under this DPA, including legally required notices, continue to apply.

14.3. Confidentiality and security

Authorised personnel must be bound by confidentiality duties. We will implement the technical and organisational measures required by Article 32 of the UK GDPR and EU GDPR where applicable.

14.4. Sub-processors

You give general written authorisation for us to use the sub-processors identified on our Sub-processor List made available when you accept this DPA, together with any others expressly authorised in your Order or processing schedule. We will notify you of proposed additions or replacements in advance and allow a reasonable opportunity to object on data-protection grounds. If an objection cannot reasonably be resolved, either party may end the affected Services, subject to section 7.

We will comply with Article 28’s requirements when engaging sub-processors. Customer-selected destinations acting under your separate arrangements are not our sub-processors solely because we transmit data to them.

14.5. Assistance and incidents

We will provide the assistance required by Article 28(3)(e)–(f) of the UK GDPR and EU GDPR where applicable, subject to the qualifications in those provisions. We will notify you without undue delay after becoming aware of a personal-data breach affecting Customer Personal Data.

14.6. International transfers

International transfers, including qualifying overseas access, must comply with Data Protection Law and your documented instructions.

14.7. Return and deletion

On termination of the relevant Services, you instruct us to delete Customer Personal Data unless you request its return before deletion begins. We will follow that choice and delete existing copies unless applicable law requires retention.

14.8. Compliance information and audits

We will make available the information and allow and contribute to audits, including inspections, required by Article 28(3)(h) of the UK GDPR and EU GDPR where applicable. Reviews will start with existing documentation and remote review where these adequately demonstrate compliance. Any inspection must be relevant to our processing of your Customer Personal Data and use reasonable advance notice, normal business hours and confidentiality and security safeguards, with the minimum reasonably necessary disruption to our business and other customers.

Routine inspections are limited to one per customer in any 12 months. These arrangements do not prevent additional or urgent audits where required to exercise rights under Data Protection Law.

14.9. Costs

You pay your appointed auditor. Unless required by Data Protection Law or expressly agreed, we do not undertake customer-specific certifications, bespoke reports or completion of custom questionnaires where existing information adequately answers the relevant compliance questions. We may charge reasonable, agreed-in-advance fees for additional customer-specific assistance, bespoke exports or audit support beyond routine compliance information. Fee disputes or the absence of agreed fees do not excuse or delay legally required assistance or audit access. These arrangements do not permit charges to individuals contrary to Data Protection Law.

15. General

Neither party is liable for delay or failure caused by events beyond its reasonable control if it reasonably mitigates their effect and resumes performance when able. This does not remove accrued payment obligations or mandatory legal duties.

Neither party may transfer this agreement without the other's written agreement, except to a business successor without materially reducing the other's rights. Third parties have no enforcement rights unless expressly agreed. Delay in enforcement is not waiver. Invalid provisions do not invalidate the remainder.

The parties are independent contractors. This agreement does not create a partnership, joint venture, employment or agency relationship, and neither party has authority to bind the other.

This agreement and Orders may be entered into electronically, with electronic records of acceptance retained. Contractual notices may be sent by email, including automated emails. Send complaints and notices to connect@slynk.io. We may send notices to your nominated company contact or, if none is nominated, your registered account contact. Keep that address current and ensure notices reach the appropriate people in your business. Separate copies to each user are not required unless required by law. This does not override mandatory signature or delivery requirements or apply to service of legal proceedings.

Unless a separately signed agreement states otherwise, English and Welsh law and the exclusive jurisdiction of its courts apply, subject to mandatory law and rights to seek urgent protective relief.
